Terms and Conditions

By downloading, installing, accessing, or using the rilio mobile application (“App”) or any related services (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you (“you” or “User”) and rilio (“we,” “our,” or “us”), the operator of the Service.

1. Acceptance of Terms

By using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

2. Eligibility

You must be at least 13 years of age (or 16 years of age if you are in the EU/EEA) to use the Service. By using the Service, you represent and warrant that:

• You meet the minimum age requirement;
• You have the legal capacity to enter into these Terms;
• You are not prohibited from using the Service under any applicable law; and
• If using the Service on behalf of an organisation, you have authority to bind that organisation to these Terms.

3. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Keep your account information up to date;
• Maintain the confidentiality of your login credentials;
• Notify us immediately at if you suspect unauthorised access to your account;
• Accept responsibility for all activities that occur under your account.

You may not create more than one account per person. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment Terms

4.1 Subscription Model

rilio is a subscription-onlyservice. Access to the core features of the App requires an active paid subscription (“rilio Pro”). There is no permanent free tier.

4.2 Subscription Plans

We offer the following subscription plans:

• Monthly Plan: Billed once per month
• Annual Plan: Billed once per year

Current pricing is displayed within the App at the time of purchase. Prices may vary by region and are subject to change.

4.3 Free Trials

Where offered, free trials provide temporary access to rilio Pro features. Your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends.

4.4 Automatic Renewal

All subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. Your payment method will be charged at the then-current subscription price upon renewal.

4.5 Billing

All billing is processed through the platform where you purchased the subscription:

• iOS users: Billed through your Apple ID via the App Store.
• Android users: Billed through your Google account via Google Play.

We do not directly process payment card information.

4.6 Price Changes

We may change subscription prices. We will provide reasonable notice of price changes through the App or via email. Continued use of the Service after the price change takes effect constitutes your agreement to the new price.

4.7 Complimentary Access

We may, at our sole discretion, grant complimentary (“comp”) access for a limited duration to certain users for support, promotional, or testing purposes. Comp access does not create any obligation for continued free access.

5. Cancellation Policy

5.1 How to Cancel

You may cancel your subscription at any time through the platform you used to subscribe:

• iOS (App Store): Open the App Store → Tap your profile photo → Subscriptions → rilio → Cancel Subscription.
• Android (Google Play): Open Google Play → Tap your profile photo → Payments & Subscriptions → Subscriptions → rilio → Cancel Subscription.

You may also manage subscriptions from within the rilio App in Settings.

5.2 Effect of Cancellation

Upon cancellation, you will retain access to the Service until the end of your current billing period. After that date, your access will be downgraded and you will not be charged further. We do not provide refunds for partial subscription periods except as required by applicable law or platform refund policies.

5.3 Refund Requests

All refund requests are subject to the refund policies of the App Store (Apple) or Google Play (Google). We encourage you to review their respective policies. For special circumstances, contact us at .

6. License Grant

Subject to your compliance with these Terms and maintenance of an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control;
• Access and use the Service solely for your personal, non-commercial financial tracking purposes.

7. Restrictions

You agree not to:

• Copy, modify, adapt, translate, or create derivative works of the App or Service;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service;
• Access the Service to build a competing product or service;
• Use automated means (bots, scrapers, crawlers) to access or extract data from the Service;
• Introduce malware, viruses, or any destructive code;
• Attempt to gain unauthorised access to any part of the Service or its infrastructure;
• Use the Service for any illegal, fraudulent, or harmful purpose;
• Violate any applicable local, national, or international law or regulation;
• Harass, abuse, or harm other users or rilio personnel;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

8. User Content

You retain ownership of all financial data, notes, and other content you submit to the Service (“User Content”). By submitting User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to store, process, and display your User Content solely to provide and improve the Service.

You represent and warrant that:

• You have all rights necessary to submit User Content; and
• Your User Content does not violate any third-party rights or applicable laws.

9. AI Features and Accuracy

The Service includes AI-powered features (transaction parsing, categorisation, financial insights) powered by third-party AI services.

Important Disclaimers:

• AI-generated results (categorisations, insights, parsed transactions) may contain errors or inaccuracies.
• AI features are for informational and convenience purposes only and do not constitute financial, tax, investment, or legal advice.
• You are solely responsible for verifying AI-generated transaction data before relying on it.
• We do not guarantee the accuracy, completeness, or suitability of any AI-generated output.

Before transmitting any text to AI services, we automatically redact sensitive identifiers (full account numbers, phone numbers, email addresses) from your transaction data.

10. Financial Information Disclaimer

rilio is an expense tracking tool, not a financial institution, bank, investment advisor, or financial planner.

• We do not hold, transfer, or custody any of your funds.
• We do not provide financial, investment, tax, or legal advice.
• All financial insights, summaries, and categorisations provided by the Service are for informational purposes only.
• You should consult a qualified professional for financial, tax, or legal advice.
• We are not responsible for any financial decisions you make based on information provided by the Service.

11. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, and other content (excluding User Content), is owned by or licensed to rilio and is protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, or create derivative works based on our intellectual property without our express written permission. “rilio” and our logo are trademarks of rilio.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

13. Third-Party Services and Links

The Service integrates with third-party services (including RevenueCat, PostHog, OpenRouter, and others described in the Privacy Policy). These integrations are provided for convenience, and we are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is subject to their respective terms and conditions.

14. Service Availability and Modifications

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time with or without notice;
• Temporarily suspend the Service for maintenance or updates;
• Change features, functionality, or pricing of the Service.

We will make reasonable efforts to notify you of material changes.

15. Termination

15.1 Termination by You

You may terminate your account at any time by deleting your account from within the App (Settings → Account → Delete Account). Deletion of your account will cancel your access to the Service. Subscription cancellation is separate and must be done through the applicable app store (see Section 5).

15.2 Termination by Us

We reserve the right to suspend or terminate your account, at our sole discretion and without prior notice, if:

• You violate any provision of these Terms;
• We detect fraudulent, abusive, or illegal activity;
• We receive a valid legal order requiring termination; or
• Continuing the account would expose rilio to legal liability.

15.3 Effect of Termination

Upon termination of your account, your license to use the Service will immediately cease. We may retain certain data as described in our Privacy Policy or as required by law. Provisions of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11, 16, 17, 18, and 20) will survive.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
• DEFECTS WILL BE CORRECTED;
• THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS;
• THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RILIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES RESULTING FROM YOUR INABILITY TO ACCESS OR USE THE SERVICE;
• DAMAGES RESULTING FROM UNAUTHORISED ACCESS TO YOUR ACCOUNT OR DATA;
• DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED CONTENT OR FINANCIAL INSIGHTS;
• DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR SERVICE FAILURES.

IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY, SO THESE LIMITATIONS MAY NOT FULLY APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless rilio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of or access to the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your User Content; or
• Your violation of any rights of any third party.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service will be resolved as follows:

Informal Resolution: Before filing a formal claim, you agree to contact us at and attempt to resolve the dispute informally for at least 30 days.

Arbitration: For users in jurisdictions that permit it, disputes that cannot be resolved informally shall be submitted to binding individual arbitration, not class action proceedings.

Jurisdiction: For users in the European Union, consumer protection laws of your country of residence may apply and take precedence over any conflicting terms.

Class Action Waiver: To the extent permitted by applicable law, you agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative proceeding.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the “Last Updated” date at the top;
• Provide in-app notification of material changes; and/or
• Send an email notification to your registered email address.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and rilio with respect to the Service and supersede all prior agreements, understandings, or representations of any kind.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
